Welcome to Clinic Clarity™.

These Terms of Service govern your access to and use of the Clinic Clarity™ website, software platform, dashboards, reports, support services and any related products or services provided by Health Frame Pty Ltd ("Health Frame", "we", "our" or "us").

By accessing this website, requesting information, registering an account or using Clinic Clarity™, you acknowledge that you have read and accepted these Terms of Service.

These Terms are intended to provide an overview of how Clinic Clarity™ operates. Customers who proceed with implementation and subscription services will also be required to accept our comprehensive Subscription & Software Licence Agreement prior to the commencement of their Guided Implementation Program.

About Clinic Clarity™

The Clinic Clarity Dashboard is a cloud-based practice management and clinical intelligence platform for multi-location chiropractic clinics. It provides operational visibility, patient retention tracking, financial reporting and practitioner clinical tools.

The platform comprises three core modules:

• Clinic Operations Dashboard: daily record tracking for appointments, Initial Consultation (IC) and Report of Findings (ROF) workflow tracking with conversion rate monitoring, comparative and progress exam scheduling, patient reactivation and recall management, ended and reduced care recording with automated revenue risk projection, shift handover notes, and AI-generated daily and weekly summary reports.
• Practitioner Workspace: an X-ray Analysis Tool offering practitioner-guided spinal landmark annotation with alignment and subluxation analysis modes, and Clinical Scribe AI Clinical Notes providing audio-recorded consultation transcription with AI-generated SOAP notes. Both X-ray analysis modes can be exported together as a multi-page PDF.
• Admin Dashboard: network-wide financial reporting, clinic KPI management and benchmarking, chiropractor compliance tracking, staff analysis and performance monitoring, business reminders and bulletin system, usage reporting, and feature management controls.

Eligibility

Clinic Clarity™ is intended for use by licensed chiropractic professionals and authorised clinic administrative staff operating legitimate healthcare businesses.

By using this website or registering interest in Clinic Clarity™, you confirm that:

• you are at least 18 years of age;
• any information you provide is accurate;
• you are authorised to act on behalf of your organisation where applicable;
• you will use the platform lawfully and in accordance with these Terms.

Guided Implementation

New customers participate in a Guided Implementation Program prior to receiving access to Clinic Clarity™.

This implementation process allows Health Frame to configure the platform to suit each customer's operational requirements and includes account configuration, administrator setup and initial platform optimisation.

Implementation services commence once the applicable Implementation Fee has been paid.

Complimentary Optimisation Period

Following the Customer's First Successful Administrator Login, the Customer enters a thirty (30) day Complimentary Optimisation Period.

During this period, Health Frame will work collaboratively with the Customer to refine the platform configuration, terminology, workflows and reporting to best suit the Customer's operational requirements.

Reasonable configuration amendments requested during this period are provided without additional charge.

Software defects, system faults and technical issues will continue to be corrected without charge regardless of whether the Complimentary Optimisation Period has concluded.

Major configuration requests submitted after the Complimentary Optimisation Period may attract a Configuration Amendment Fee.

Subscription Services

Clinic Clarity™ is provided as a subscription service.

Subscription pricing may vary depending on the selected subscription plan, the number of participating clinics, administrator accounts, authorised users or other agreed commercial arrangements.

Subscription fees, billing arrangements and cancellation requirements are outlined within each customer's Subscription & Software Licence Agreement.

The Clinical Scribe AI Clinical Notes and X-ray Analysis tools consume AI processing credits. Usage is monitored and reported in the Admin Dashboard.

Subscription tiers may limit available features, clinic locations or AI processing volume. Where applicable AI processing credits are exceeded, additional usage may be subject to additional charges as outlined in the Subscription & Software Licence Agreement.

Intellectual Property

Clinic Clarity™ and all associated software, systems, reports, dashboards, workflows, graphics, documentation, branding, methodologies, artificial intelligence functionality, calculations, templates and content are the intellectual property of Health Frame Pty Ltd unless otherwise stated.

Clinic Clarity™ is protected by applicable copyright, trade mark and intellectual property laws.

Nothing contained within this website transfers ownership of any intellectual property to any visitor or customer.

Acceptable Website Use

Visitors must not:

• attempt to gain unauthorised access to any part of the Clinic Clarity™ platform;
• interfere with website functionality;
• copy or reproduce website content without written permission;
• use automated systems to scrape or harvest information;
• upload malicious software or code;
• misuse any forms, communications or services provided through this website.

Health Frame reserves the right to restrict or terminate access where these Terms are breached.

Acceptable Use of Clinical Tools

The X-ray Analysis Tool and Clinical Scribe AI Clinical Notes are provided as clinical decision-support and productivity aids. They do not replace professional clinical judgement.

• X-ray analysis tools, including alignment reference lines and subluxation analysis, are decision-support aids intended to assist, not replace, the professional judgement of a licensed chiropractor.
• Clinical Scribe AI-generated clinical notes are drafts that require practitioner review and approval before finalisation. Practitioners are responsible for the accuracy and clinical appropriateness of all finalised notes.
• Clinical Scribe audio recording requires explicit patient consent before each recording commences. It is the practitioner's responsibility to obtain and confirm consent in accordance with applicable laws and professional standards.
• The platform is intended for use by licensed chiropractic professionals and authorised clinic administrative staff only.

Role-Based Access and Data Isolation

Clinic Clarity™ enforces role-based access control with the following roles: Admin, Chiropractor, Clinic (CA) and User.

• Practitioners see only their own data and the data of their linked clinic.
• Clinics see only their own location's data.
• Admins have network-wide access across all linked clinics.

All clinic operational data is tenant-isolated by clinic ID. No clinic can access another clinic's records.

Privacy

Your privacy is important to us.

Our collection, storage and use of information is governed by our Privacy Policy, which forms part of these Terms of Service.

Health Frame is not responsible for the content, security or privacy practices of external websites.

Limitation of Liability

To the maximum extent permitted by law, Health Frame excludes liability for any loss arising from the use of this website or reliance on information published on this website.

Nothing contained within these Terms excludes any rights that cannot be excluded under Australian Consumer Law.

Changes to These Terms

Health Frame may amend these Terms of Service from time to time to reflect changes to legislation, business operations or platform functionality.
